Bruce practices corporate/commercial law with a focus on mergers and acquisitions. This includes acquisitions and divestitures in the Canadian market as well as advising on Canadian issues associated with international transactions. In addition, he advises on a variety of general corporate and regulatory matters. Bruce regularly advises clients in a variety of industries. He has experience in leading economic sectors including financial and other service industries, insurance, retail, pharmaceutical, film and computer software.
Representative Transactions include:
• White Rose Home and Garden Centres Limited, a retailer based in Ontario with over 25 locations – acted for the purchaser in a purchase from the receiver in bankruptcy (2002)
• Water Filter Supplier - acted for the lead investor in a $800,000 private placement to a group of investors in a start-up business (2002)
• Drug Trading Company Limited, a company in the retail pharmacy business with a network of approximately 750 stores across Canada – acted for the company in private take-over bid by Katz Group by way of a statutory amalgamation (2001)
• Cotton Ginny Limited, a retailer of women’s clothes with over 300 stores across Canada - acted for the purchaser, a US private equity fund, together with management in the acquisition of Cotton Ginny (2001)
• Reid Crowther Partners, an engineering firm based in Western Canada – acted for the purchaser, Earth Tech Inc. in a private take-over bid (2000)
• Danfield Security Services Ltd., a private company in the security services business – acted for a Chicago based client on the acquisition (1999)
• B.C. Based Computer Software Private Company – acted for a California client on the acquisition from Canadian vendor/shareholders, deal completed by issuance of "Exchangeable Shares"
